Terms of service

These terms govern the use of the BimDossier portal and mobile app. They apply exclusively to parties acting in the course of a business or profession (B2B); the service is not offered to consumers. By creating an account or using the service, you agree to these terms. BimDossier is a trading name; the business behind it and its Chamber of Commerce (KvK) number will be listed here once registration completes, and agreements under these terms continue with that business.

The service

BimDossier is a software platform for quality assurance in construction, including workflows under the Dutch Quality Assurance in Construction Act (Wkb): risk assessments, assurance plans, inspections, findings and dossier preparation. The applicability of Articles 6:227b(1) and 6:227c of the Dutch Civil Code and of Articles 7:404 and 7:407(2) of the Dutch Civil Code is excluded.

Role of the software

BimDossier is assistive software. Automated compliance checks, generated reports and dossier exports support your own professional judgement; they do not constitute legal, technical or professional advice and do not guarantee that a building work complies with the Bbl, the Wkb or any other regulation. You remain solely responsible for your statutory and professional duties (including inspections, assurance plans, declarations and filings with the competent authority) and for verifying output before relying on it. We perform our services with reasonable skill and care; our obligations are best-efforts obligations (inspanningsverplichting).

Your account and acceptable use

You provide accurate account information, keep login credentials confidential, and use the service in compliance with applicable law. You will not use the service to store or distribute unlawful content, probe or disrupt its security, reverse engineer the software (except to the extent this restriction is not permitted by mandatory law), or resell the service or make it available to third parties other than through the collaboration features we provide. You indemnify us against third-party claims arising from the content you upload or from your use of the service in breach of these terms or applicable law.

Licence and intellectual property

All intellectual property rights in the service and its software remain with BimDossier or its licensors. You receive a non-exclusive, non-transferable right to use the service for your internal business operations during the term of the agreement. You retain all rights to the data and content you upload; you grant us the right to process it solely to provide, secure and improve the service.

Trial use

We may offer the service on a trial basis. Trial access is provided on an as-is basis and free of charge; we may change its scope, limits or duration, and may suspend or terminate trial access at any time. After the trial period, certain functionality (such as creating new projects or uploading new files) may be restricted until you upgrade. We may delete trial accounts that have been inactive for an extended period, after at least 30 days' prior notice by email, during which you can export your data; deletion then follows the data processing agreement. While the service is in beta, the “Beta / pre-release service” section below also applies and prevails on data retention.

Beta / pre-release service

While the service is offered in beta (pre-release), it is made available on an as-is and as-available basis for evaluation. It may contain defects, change without notice, and be unstable or interrupted, and no service level (SLA) applies. Data you enter during the beta — including projects, models, files, photos and findings — may be reset, migrated or permanently deleted at any time and without notice, and we do not guarantee that it will be retained, recoverable or exportable. Do not use the beta service as your system of record or as your only copy of any data: keep your own copies. We do not guarantee retention of your beta data unless we have expressly agreed a retention arrangement with you in writing in advance. To the maximum extent permitted by law, we give no warranties of any kind and accept no liability for any loss of or damage to data during the beta phase.

Fees and payment

Fees, the billing period and the payment method are as agreed in the order confirmation or stated on the invoice. Unless agreed otherwise, subscriptions renew for successive periods equal to the current period, and invoices are payable within 30 days. We may adjust prices with effect from a renewal, announced at least 30 days in advance; if you do not accept a price increase, you may terminate the agreement effective from the renewal date by giving notice within 14 days of the announcement. In case of non-payment we may, after a reminder, suspend access until payment is received.

Availability and maintenance

We make reasonable efforts to keep the service available, but do not guarantee uninterrupted or error-free operation and do not commit to a service level (SLA) unless separately agreed in writing. We may perform maintenance, where possible announced in advance, and may temporarily limit availability where necessary. We take measures aimed at continuity and recovery of the service, but you remain responsible for keeping your own copies of documents you are legally required to retain.

Suspension and termination for cause

We may suspend or restrict access, in whole or in part, if you are in default of payment after a reminder, if we reasonably suspect unlawful use or a breach of these terms, or where necessary to protect the security or integrity of the service. We may terminate the agreement with immediate effect if you materially breach these terms and do not cure within 14 days of notice, or in case of your bankruptcy, suspension of payments or cessation of business. Suspension does not relieve you of your payment obligations.

Termination and data export

You can cancel a subscription by written notice (an email to info@bimdossier.nl suffices) at least one month before the end of the current subscription period. Upon termination you can export your project data, including Wkb dossier content, during a grace period of 30 days; during that period your account remains accessible so you can export your data through the service's export functions (where access was suspended for security reasons or unlawful use, we may instead provide a one-time export). After that period your data is permanently and securely deleted in accordance with the data processing agreement. Complying with statutory retention obligations for your dossiers (typically 10 years under the Wkb) is and remains your responsibility: export and retain your dossiers before the grace period ends.

Data protection

Where we process personal data on your behalf, the BimDossier data processing agreement (published in our legal centre) forms part of these terms and prevails over these terms on data-protection matters. Informing project participants about the processing of their personal data (Arts. 13 and 14 GDPR) is your responsibility as controller.

Confidentiality

Each party keeps the other party's non-public information confidential and uses it only for performing the agreement, except where disclosure is required by law.

Liability

Our total liability per event (a series of connected events counting as one event) is limited to direct damages up to the amount paid by you for the service in the twelve months preceding the event. Liability for indirect or consequential damages (including lost profit, missed savings, business interruption, and loss or corruption of data) is excluded. These limitations do not apply in case of intent or deliberate recklessness of BimDossier's management. For use of the service free of charge, including trial and beta use, all liability is excluded to the maximum extent permitted by law. Any claim lapses twelve months after you became aware, or should reasonably have become aware, of the damage.

Changes to these terms

We may amend these terms. Material changes are announced at least 30 days in advance by email or in the portal. If you do not accept a material change, you may terminate the agreement effective from the date the change takes effect; continued use after that date constitutes acceptance.

General

We are not liable for failures caused by circumstances beyond our reasonable control, including failures of hosting, network or energy suppliers and cyber attacks. We may assign the agreement to a group company or in connection with a business transfer (including the incorporation of our legal entity); you may not assign it without our consent. If a provision of these terms is invalid, the remainder stays in force and the invalid provision is deemed replaced by a valid one approximating its intent. These terms, the order and the data processing agreement form the entire agreement; the applicability of your own general (purchase) terms is expressly rejected.

Governing law and disputes

These terms and any agreement with BimDossier are governed exclusively by Dutch law. Disputes are submitted exclusively to the competent Dutch court in the district where BimDossier has its registered office. These terms are available in Dutch and English; in case of divergence, the Dutch version prevails.
